Chinese Contract Law and the 2020 Civil Code

Date: May 10, 2021 (Monday)

Time: 17:00 – 18:00 (Hong Kong Time)

The long-awaited promulgation of the Civil Code on 28 May 2020 (effective 1 January 2021) is a historical milestone in the legal system of the People’s Republic of China (PRC). This colossal endeavour, which took many decades to accomplish, contains seven books covering major areas of Chinese civil law, including contract law. This new book by Dr Mimi Zou is the first of its kind to introduce the key provisions on contracts in the Civil Code to an English-speaking audience outside the PRC. It provides a comprehensive, informative and accessible account of Chinese contract law that applies academic rigour with a practical approach. The book provides succinct and clear commentary that explains fundamental concepts along with illustrative cases, covering the crucial aspects of contract law, including formation, validity, precontractual obligations, performance, third parties’ rights, modification, assignment and subrogation, breach and remedies.
The book is for practitioners, researchers and students seeking to get up-to-date with this significant new legislation. Practitioners will find it a valuable reference for advising foreign investors and multinationals that operate in the PRC as well as those engaging in cross-border commercial transactions involving Chinese law. Researchers and students with an interest in Chinese and comparative contract law will find the book’s analysis of key debates in the field to be highly stimulating.
