Description:
This presentation discusses a key question of how to orderly resolve the failures of financial institutions. Presently, there are two approaches advocated by international organisations, namely, the Key Attributes of Effective Resolution Regimes for Financial Institutions by the Financial Stability Board (FSB), and the ongoing Draft Legislative Guide on Bank Liquidation by the International Institute for the Unification of Private Law (Unidroit) and the Financial Stability Institute (FSI). This presentation compares the two approaches, with a particular focus on their influence on the draft Chinese Financial Stability Law. It examines institutional arrangements, crisis management proceedings, resolution and liquidation tools, and funding mechanisms. It proposes a systemic approach for resolving financial institution failures, by coordinating the roles and functions of administrative and judicial authorities, defining the conditions for initiating resolution and liquidation proceedings, applying tools such as bail-in and transfer, as well as establishing limitations on the usage of external funding.

自2001年頒布信託法以來,中國商事信託行業/資產管理行業目前已經成為銀行業之後最大的金融分業,價值近百萬億元人民幣的金融財產以信託的組織形式管理運用。過去很長一段時間以來,信託法的應用局限於金融資產管理行業,與民法之間基本處於井水不犯河水狀態,但未來隨著民事信託需求的拓展,以及商事信託運用日益多元化、信託關係日益複雜化,信託法與民法典的緊張甚至衝突進一步凸顯。
中國民事立法大體繼受大陸法的主要傳統,以小步快跑的方式制定了婚姻法、合同法、物權法、繼承法、侵權責任法,並最終在幾代人的多年努力下,於2020年通過中國民法典。作為財產管理最重要的基本法——信託法如何處理與民法典的關係,一直在理論和實踐中存在不同思路的探索。信託法與民法典在很長時間內或許依然保持油水不融的狀態,但這種討論本身並非徒勞的,期待信託對民法典本身的開放性和不斷優化,提供更廣泛的普通法視角。

In 2019 amid the US-China trade war, China adopted the Foreign Investment Law (FIL) to replace the existing fragmented laws and regulations. The FIL, which is based on the pre-establishment national treatment and negative list, forged one of the most liberalist foreign investment regimes in the world, and is thus pro-investment per se. To the surprise of the observers, however, recent years saw a decline of the incoming foreign investment in China and even a wave of foreign investment exit. The talk is going to offer some interpretations to the limits of the FIL in a time of uncertainty.
